External or internal actors could obtain unauthorized access to the Company’s computer systems or network infrastructure or information stored in and transmitted through the Company’s computer systems and network infrastructure, which may result in the theft or unauthorized use of personal information, which could cause significant liability to the Company and may cause existing and potential customers to refrain from doing business with the Company. These factors are compounded by the continued trend to leverage cloud computing and support hybrid remote work strategies. The financial services industry has faced a notable increase in both the sophistication and frequency of cyberattacks leveraging phishing, exploitable vulnerabilities, and third-party service providers. The pervasiveness of cybersecurity incidents and the risks of cybersecurity breaches are complex and continue to evolve. In addition, advances in computer capabilities, such as artificial intelligence, and the increased sophistication of threat actors could result in a compromise or breach of the systems the Company and the Company’s third-party service providers use to encrypt and protect customer data and transactions. A failure or compromise of such security measures could have a material adverse effect on the Company’s business, financial condition and results of operations. See Item 1C. Cybersecurity for further discussion of risk management and governance related to cybersecurity..
